This Terms of Service governs your access to and use of the Service. For information on data collection and privacy, please refer to our Privacy Policy.
"Service" means the Qordinate platform, website, applications, and related features made available by Qordinate.
"User", "you", and "your" mean the person or entity that accesses or uses the Service.
"Account" means your registered account for accessing the Service.
"Connector" means the Qordinate feature that links the Service to a third-party application.
"Integrated Tool Service" means a third-party application accessed through a Connector.
"Trial Period" means the limited trial access period that begins when you submit valid payment credentials through a Qordinate-designated payment link.
"Free Messages" means complimentary message allocations provided at Qordinate's discretion prior to paid enrollment.
"Premium Features" means paid features and capabilities available to Trial or subscribed users.
"Subscription" means a recurring paid plan (monthly or annual) for access to Premium Features.
"Content" means prompts, messages, text, files, and other materials you submit or share through the Service.
By accessing or using Qordinate, you agree to be bound by these Terms of Service. If you do not agree with any part of the terms, you may not access the Service.
Qordinate grants you a limited, non-exclusive, non-transferable, and revocable license to use the Service for personal and non-commercial purposes during the term of your active Subscription (or Trial Period, if applicable). This license does not constitute a transfer of ownership. Under this license, you may not:
When creating an account with Qordinate, you must provide accurate, complete, and up-to-date information at all times. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 18 years of age, or the age of majority in your jurisdiction, to create an Account or use the Service.

Your use of Qordinate is also subject to the terms outlined in the Privacy Policy.
You agree not to use the Service:
You may post, link, store, or share content through the Service. You are solely responsible for any content you submit, including its legality, reliability, and appropriateness. By posting content, you grant Qordinate a non-exclusive, royalty-free, worldwide license for the duration of your Account, solely to operate, improve, and provide the Service to you.
We may suspend or terminate your Account for material breach of these Terms, illegal activity, or abuse of the Service. Where reasonably practicable, Qordinate will provide at least fourteen (14) days' notice before termination for policy breaches, except where immediate action is necessary to prevent harm, fraud, or legal non-compliance.
The Service and all information provided are offered on an "as is" and "as available" basis. To the fullest extent permitted by law, Qordinate disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
The Service lets you link external applications ("Integrated Tool Services"). Each Integrated Tool Service is operated by an independent provider and governed by its own terms. When you enable a Connector you authorize Qordinate, acting as your limited agent solely for the purpose of transmitting your instructions to the designated Integrated Tool Service and returning its responses to you, to store your credentials using industry-standard encryption (AES-256 or equivalent), refresh them when required, and transmit the parameters you supply on your behalf. Qordinate is not responsible for the acts or omissions of those providers.
Qordinate integrates with various third-party communication channels, including but not limited to WhatsApp, Telegram, and Slack. Access to and functionality of these channels may be suspended, limited, or entirely disabled at any time without prior notice due to platform-specific technical issues, API modifications, or changes in their respective terms of service or compliance guidelines. Furthermore, Qordinate shall not be liable for adverse platform actions arising from the platform's own policy changes or enforcement decisions, unless directly and solely caused by Qordinate's gross negligence or willful misconduct. Your use of such channels through Qordinate remains subject to the policies of the respective platform providers.
In no event shall Qordinate, its affiliates, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of the Service or any Integrated Tool Service accessed through a Connector. To the maximum extent permitted by law, Qordinate's aggregate liability for direct damages arising from or related to the Service shall not exceed the total fees paid by you to Qordinate in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability for fraud, gross negligence, or death/personal injury where such limitation is prohibited by law.
Automatic Conversion. Upon the expiration of any applicable trial period, your subscription will automatically convert to a paid plan at the then-current rate. Qordinate will send a reminder email at least three (3) days before the Trial Period expires, stating the plan, price, and cancellation deadline.
Trial Period Definition. "Trial Period" has the meaning set out in the Definitions section above.
Variable Trial Duration. The specific duration of any Trial Period (e.g., 3 days, 7 days, 14 days) shall be as displayed on the checkout page or payment link at the time of your enrollment and confirmed by email after checkout. In no case will the Trial Period be shorter than three (3) days. Different promotional offers may carry different durations, and the terms presented at checkout shall govern.
Payment Method Verification. Upon submitting your payment details, Qordinate or its third-party payment processor may place a temporary authorization hold not exceeding INR 10 (or currency equivalent) on your designated payment method solely to validate the payment instrument. This temporary hold will be released automatically and does not constitute a charge for the Service.
All Sales Final. All fees charged following the expiration of your Trial Period are final and non-refundable, except where required by applicable law or where the Service was not materially delivered due to a fault on Qordinate's part.
Waiver of Statutory Cooling-Off Period. By initiating your Trial Period and accessing the Service, any waiver of a statutory withdrawal right (where permitted) will be collected through a separate, explicit checkbox at checkout. Acceptance of these Terms alone does not constitute that waiver.
No Prorated Refunds or Credits. If you cancel your subscription at any point during a billing cycle (whether monthly or annual), you shall retain access to the Service until the end of the then-current billing period. No prorated refunds, credits, or partial reimbursements will be issued for any unused portion of the billing period.
Cancellation Deadline. To avoid being charged for the next billing cycle, you must cancel your subscription no later than forty-eight (48) hours before the expiration of the current Trial Period or billing cycle, as applicable. Cancellation requests received after this cut-off time will take effect at the end of the subsequent billing period, and the corresponding charge shall be deemed valid and non-refundable, subject to applicable law and the reminder commitment above.
Free Message Allocation. Qordinate may, at its discretion, provide a limited number of complimentary messages ("Free Messages") to users who have not enrolled in a Trial or paid subscription. This allocation is provided as a courtesy and does not confer any entitlement to continued access. Upon exhaustion of the Free Message allocation, continued use of the Service requires enrollment in a Trial or a paid subscription plan.
Service Suspension Upon Payment Failure. In the event that a recurring charge is declined, cannot be processed, or otherwise fails following the expiration of your Trial Period, Qordinate may provide at least three (3) days' grace period to allow you to update your payment method before restricting access to Premium Features. During this grace period, access to historical message records may remain available in read-only mode where technically feasible.
Right to Modify Limits and Offerings. Qordinate reserves the right, at its sole discretion, to modify, reduce, or discontinue the Free Message allocation, Trial Period duration, feature availability, or any other aspect of the Service. For existing users, any reduction in Free Message allocation will take effect no sooner than fourteen (14) days after notice.
Recurring Billing Authorization. By subscribing to a paid plan, you expressly authorize Qordinate and its designated payment processor to charge your provided payment method on a recurring basis (monthly or annually, as selected at checkout) at the then-applicable subscription rate. This authorization remains in effect until you cancel your subscription in accordance with these Terms or until your payment method is no longer valid.
Applicable Taxes. All prices displayed are exclusive of applicable taxes unless otherwise stated. You are responsible for any value-added tax (VAT), goods and services tax (GST), sales tax, or other similar levies imposed by your jurisdiction based on your billing address or location as detected at the time of checkout. Such taxes will be calculated and applied at the point of sale where required by law. If you believe tax was applied in error, contact support within thirty (30) days and Qordinate will review and correct the charge where applicable.
Price Changes. Qordinate reserves the right to modify its subscription pricing at any time. In the event of a price increase, we will provide you with no less than thirty (30) days' advance notice via the email address associated with your account. Your continued use of the Service after the effective date of the price change constitutes your acceptance of the revised pricing. If you do not agree to the new pricing, you may cancel your subscription at any time before the new price takes effect to avoid being charged at the revised rate.
Proof of Service Delivery. You acknowledge and agree that Qordinate's system-generated logs — including but not limited to message timestamps, session activity records, feature access logs, and usage metadata — shall constitute prima facie evidence of service delivery and utilization in the event of any billing dispute, chargeback, or claim of non-delivery, subject to rebuttal by credible counter-evidence.
Transactional Communication Consent. By creating an account and subscribing to the Service, you consent to receive transactional and billing-related communications from Qordinate, including but not limited to trial expiration notices, billing reminders, payment confirmations, and renewal notifications, delivered to the email address associated with your account. Such communications shall be deemed received twenty-four (24) hours after dispatch, unless Qordinate receives a delivery failure notification.
Pre-Litigation Resolution. Before initiating legal proceedings, either party will send written notice describing the dispute and the requested remedy. The parties agree to a thirty (30)-day good-faith negotiation period before filing a formal legal claim, except where urgent injunctive relief is required.
These Terms and any dispute arising out of or relating to them shall be governed by the laws of India, without regard to conflict-of-law principles. Subject to applicable mandatory consumer law, courts in Bengaluru, Karnataka shall have exclusive jurisdiction over disputes that are not resolved through the pre-litigation process above.
We may update these Terms from time to time. Material changes (including pricing, liability, refund, or termination rights) will be notified via email at least fourteen (14) days before they take effect. Changes will also be posted on this page. Continued use after the effective date constitutes acceptance of the revised Terms.
Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Force Majeure. Qordinate is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, acts of government, internet or infrastructure outages, cyberattacks, and third-party service failures.
Assignment. Qordinate may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, provided users are notified and the successor assumes these Terms.
No Waiver. Qordinate's failure to enforce any provision of these Terms will not constitute a waiver of its right to enforce that provision later.
IP Infringement Notices. If you believe content available through the Service infringes your intellectual property rights, contact support with sufficient details to identify the allegedly infringing material, your rights claim, and your contact information so Qordinate can review and respond under applicable law.
